Meeting opened at 6:40 PM
Brenda provided an AGENDA for this meeting with 4 items to be covered as follows:
1. Distribute information to Committee members: Brenda
A. Formula for third PEG Channel received from MediaOne
B. PEG Access Information night brochure
C. Process outline for selecting PEG Access Board
2. Approve Minutes of 11/04/98 Meeting - Joe
3. Discuss name of the PEG Access Corporation
4. Review content/ committee responsibilities PEG Access Information Night on 11/17-ALL
Discussion on item I A of the AGENDA, a draft of the one paragraph from MediaOne.
Brenda had calculated the time lines for the percentages that were part of the draft. The draft indicated a third
channel would be provided only if the timeline were met. All present were involved in a meaningful discussion. A
copy of the timeline will be included with the approved minutes.
Items B and C of the AGENDA were discussed and item 1. C was amended for the terms of office for the directors.
A copy of the amended item will be included with the approved minutes.
A motion was made by Jim Biller to Accept, as amended the "PROCESS FOR CREATION OF PEG
ACCESS BOARD OF DIRECTORS" The motion was seconded and approved by all present.
The minutes of the meeting for 11/04/98 were read and approved. (Item 2 of the AGENDA)
No discussion for the name of the PEG Access Corporation was made at this meeting.
Item 4 of the AGENDA For the information night on the 17th a discussion ensued and four basic points were
tentatively considered for presentation as follows:
1. Brief history of cable TV in Reading.- Mike Longo.
2. What is Public Access?- Brenda Smith
3. When - where- and how for Public Access.- Bernie S*tdlow

PROCESS FOR CREATION OF PEG ACCESS
BOARD OF DIRECTORS
Based on advice from attorney Peter Epstein, who has been retained to
draft the PEG access corporations by-laws, and review of the by-laws of
other PEG access corporations in the area, the cable advisory committee
recommends the following process be followed and incorporated into the
PEG access corporation's by-laws.
JL The PEG access corporation will have an initial start-up Board of
Directors of not less than 5 directors and not more than 7 directors.
2. These initial directors will be appointed by the Issuing Authority (the
Selectmen.)
~3. A pool of applicants who are interested in serving as corporate
directors will be publicly solicited starting 11/11/98 and ending
12/7/98.
4. Applications will be screened by the Cable Advisory Committee and a
recommended list of board directors will be forwarded to the
Selectmen.
5. The Selectmen will appoint the members of the start-up board of
directors by 12/15/98.
6. The term of office of the Board members will be three years.

7. Thereafter, the PEG Access Corporation's Board will consist of not less
than 7 directors and not more than 15 directors, consisting of the
following:
3 Directors to be appointed by the Selectmen (I Vp, 2te 3v
1 Director - to be appointed by the School Department (.5,1 +ehm)
3 Directors - to be elected by the corporation's members ( Up . ZT
The remaining directors to be appointed by the Board of'

8. The terms of the Board of Directors will be staggered.

The Licensee shall maintain, on its Subscriber Network, two (2)
public access channels for non-commercial use by residents of the
Town, educational authorities and local government officials. A
third public access channel shall be made available when the
existing public access channels are used to cablecast first-run,
locally produced, non-commercial programming at least seventy-five
percent (75%) of the weekdays (Monday through Friday) for
seventy-five percent (75%) of the time during any consecutive six -
(6) hour period for six (6) consecutive weeks. If there is channel
space available at the time of the Issuing Authority's request for a
third channel under this Section, the Licensee shall make a channel
available as soon as possible. If there is no channel space
available, the Licensee shall have twelve (12) months following a
request by the Issuing Authority in which to make such new channel
available.
