AGREEMENT TO ADD THIS SENTENCE TO THE AGREEMENT OF DECEMBER 28,1981: "THE IN LIEU TAX PAYMENT SHALL NOT EXCEED WHAT THE TAX WOULD HAVE BEEN IF IT WERE A MARKET APART,'JENT BUILDING."
