LeLacheur,Jr. CFA Date: November4,2021 RE: Agenda for November 9th, 2021 meeting The meeting will begin at 7:OOpm in the Town Hall Select Board meeting room, and also allow a Zoom option. The Chair will give a meeting overview, and request that the VASC appointments for ZBA only be taken out of order and voted. The Town Clerk is ready to swear in members right away as the ZBA also meets on Tuesday night and needs members to form a quorum. This will be followed by Liaison reports and Public Comment. At 7:30pm the Consent Agenda has four brief items: 1) accept a gracious gift from Reading Little League in order to install a Hunt Field Scorecard (RLL will be present); 2)vote to waive cemetery fees for veterans (Chair of Bd Cem Trustees will be present); 3) approve Class 1 license for Honda (same gentleman from Texas on zoom as was at your last meeting — we have everything but your vote is contingent on their closing); and 4) vote on remaining VASC recommendations. Please see your packet for more details on items 2) through 4), and a very brief visual slide or two for Hunt Field will be shown that night. At approximately 8pm, Town Counsel will discuss Walt Tuvell OML complaints and proposed resolutions. At 8:10 Mark Dockser will provide an update on the P&5, and Town Counsel will be present in case final documents are ready. At 8:20pm the Board will be requested to vote on a license with RMLD, previously discussed. There is no further information in the packet. At 8:30pm the RMLD General Manager and Commissioners will be in to discuss a variety oftopics listed on the agenda. At approximately 9:30pm the Climate Advisory Committee will be in to discuss a Sustainability Director.There is no further information in the packet on any of these items at this time. The Board will then discuss future agendas and approve meeting minutes. The Board's next scheduled meeting is November 23�d, consisting of three Public Hearings already advertised and several other agenda items. In early December the Board's first meeting consists of license renewals and any other traditional agenda items; the next two December meetings are budget-only discussions; and there is a placeholder for a fourth meeting in case more budget discussion is needed. I am in full support of not charging the $100 dollar fee to install the markers. I have always felt uncomfortable when I'm assisting a grieving family member complete the application for the VA marker,advising them the marker is free from the Veterans Administration BUT can you please write a $100 check for the town to install. The marker provided free by , the VA is valued at approximately$1,800. A no cost marker and installation would be a nice "Final Salute"for their service and sacrifices. WHEREAS, Licensee intends to install, own, operate, and maintain electric vehicle supply equipment("EVSE") located on certain property under the Licensor's ownership, custody, or control located at 580 Main Street Parking Lot in the Town of Reading("Premises"); WHEREAS, Licensee is the exclusive electric service provider to the Premises; WHEREAS, Licensor is willing to permit,under certain conditions on a revocable basis,use by Licensee for the purposes set forth herein as shown on the plan entitled: "580 Main Street Parking Lot", dated September 28,2021, a copy of which Plan is attached hereto as Exhibit A and incorporated herein; said land being hereinafter referred to as the "Licensed Area(s)"; NOW THEREFORE, in consideration of the mutual covenants,terms and conditions herein contained,the parties hereby agree as follows: ARTICLE lwwwwwww_GRANT OF LIC�I'�`��l"LJ�1 �.idtiiti���3t:"�"��1'�F'�ITCIT.IT1" (a) Subject to the provisions of this Agreement, Licensor hereby grants to Licensee a revocable, exclusive license authorizing use of the Licensed Area(s) shown on, and as more fully described in C������t '�:herein, for the exclusive purposes of developing,constructing, owning, operating,maintaining,repairing,replacing and/or removing EVSE,which may include excavation for electric lines and/or communication lines. For purposes of this Agreement,the term, EVSE, shall include all structures, electric lines, communication lines, conduit,poles,meters, charging equipment, and any other equipment,devises, or facilities required to develop, construct, own, operate,maintain, repair or replace electric vehicle charging stations. (b) No use,however extended, of the Premises under Licensor's custody and control shall create or vest in Licensee any ownership rights in such Premises. Licensee's rights herein shall be and remain those of a licensee under this Agreement. Neither this Agreement nor any license granted hereunder shall constitute an assignment of any of Licensor's rights to use the public or private property at the location of the Premises or any Licensed Area under Licensor's custody and control or owned by the Town of Reading("Town"). (c) Nothing contained in this Agreement shall be construed as a limitation,restriction or prohibition against Licensor with respect to any use by Licensor of the Premises or any agreement or arrangement, which Licensor has entered into regarding the Premises covered by this Agreement. The rights of the Licensee shall at all times be subject to the License. (d) Licensee's use of the Licensed Area(s) shall be restricted exclusively to the development, construction, ownership, operation,maintenance,repair, replacement and/or removal of EVSE by Licensee and its authorized agents, employees, servants and contractors and the use of the Premises to access the Licensed Area(s)for such purposes. Prior to and during its utilization of the Licensed Area(s),Licensee shall hold and maintain current and effective all applicable permits, licenses or authorizations required by all applicable federal, state or municipal laws, regulations, codes and bylaws for the use of the Licensed Area(s) for the purposes of the installation and operation of EVSE and shall promptly provide Licensor with evidence thereof upon request. (e) Licensee's agents, employees, servants, contractors and invitees shall take reasonable precautions to ensure the safety of Licensee's agents, employees, servants, contractors and invitees upon the Premises and shall comply with all applicable provisions of federal, state and municipal laws, codes,regulations and ordinances and any 1 successor laws,codes, regulations and ordinances thereto, in order to prevent accidents or injury to persons and property on the Premises. (fl Prior to installing any EVSE in the Licensed Area(s), Licensee shall provide Licensor,upon Licensor's request,plans and specifications showing the EVSE to be constructed("Plans and Specifications"). Such Plans and Specifications shall include copies of all reports or studies, if any,pertaining to construction of EVSE in the Licensed Area(s). The Licensor shall have the right to inspect the construction of EVSE at any time. Subsequent to the completion of the installation of EVSE,Licensee shall provide Licensor with"as-built"drawings setting forth the location of all components of the EVSE and related facilities. (g) Licensee shall perform, or cause to be performed,the development, construction, ownership, operation, maintenance,repair and/or replacement of EVSE in accordance with the Plans and Specifications,in compliance with all applicable laws,by-laws,permits, codes and regulations, as the same may be administered by authorized governmental officials. Licensee will pay all costs and expenses incurred in connection with the development, construction, ownership, operation,maintenance,repair and/or replacement of EVSE or any portion thereof, and any and all related improvements on or at the Premises,including utility connections and the cost of electricity and other utilities Licensee consumes in its development, construction, ownership, operation,maintenance,repair and/or replacement activities. (h) Licensee will be responsible for obtaining and maintaining, at its sole cost and expense,all local approvals, and permits necessary for the construction of EVSE and any and all other related improvements on or at the Licensed Area(s), and shall furnish the Licensor with copies of such permits before commencing with construction or installation of the EVSE at the Licensed Area(s). Licensor, without obligating itself to incur any costs or expenses in connection therewith, shall cooperate with Licensee in obtaining all required local licenses,permits, and the like, and shall sign all papers and documents at any time needed in connection therewith, so far as reasonably necessary, and to the extent it has the authority to do so. (i) The Licensee may make such additions,renewals or replacements to or alterations of EVSE or may construct or place on the Licensed Area(s) such additional or renewal or replacement facilities or equipment as Licensee may reasonably deem necessary or desirable to attain the purposes of the EVSE. (j) Except as provided in paragraph(1)below, Licensor acknowledges that Licensee shall have no obligation to maintain the Licensed Area(s)or any portion of the Premises. Licensor shall all at its sole cost and expense keep the Licensed Area(s) in good and safe order and condition, reasonable wear and tear and damage by fire or other casualty only excepted, and shall not commit or permit its agents, employees,representatives or invitees to commit waste to the Licensed Area(s). If Licensor or its agents, employees,representatives or invitees,by their act or omission damage the Licensed Area(s)or any portion of the Premises required to access the Licensed Area(s),Licensor shall, at its sole cost and expense,promptly repair and restore the Licensed Area(s)and/or any property of Licensor affecting Licensee's access and use of the Licensed Area(s). Licensor shall be responsible for the removal of all of its trash and waste and for removing snow and ice from the Premises as necessary for the use and operation of the EVSE and Licensee's access thereto. (k) Licensee shall maintain and repair the EVSE in good order and condition, reasonable wear and tear and damage by casualty excepted, and shall maintain the EVSE and related equipment so as to keep it safe, and in good working order and condition, all at its sole cost and expense. (1) Licensee shall have a right of access to the Premises and to perform the work in the Licensed Area(s) as necessary or expedient to construct, install, operate, maintain,repair,replace and/or remove the EVSE. ARTICLE 2 -TERM OF AGREEMENT This Agreement shall become effective on the Effective Date, and if not terminated in accordance with the provisions herein, shall continue for a period of fifteen(15)years from the date of operation of the EVSE, as notified in writing by Licensee to Licensor("Initial Term"). Unless a party provides written notice to terminate the Agreement least 90 days prior to expiration of the Initial Term, this Agreement shall remain in effect for successive one-year terms 2 ("Renewal Terms")until terminated by either party by providing written notice to the other at least 90 days prior the expiration of then such Renewal Te�n. ARTICLE 3IT—FEES AND_CHARGES (a) The fee to be paid by the Licensee to Licensor for the Term of this Agreement shall be one dollar($1.00) ("Licensee Fee"). (b) Except as provided otherwise, all costs, expenses and obligations of any kind relating to the Licensee's use of the I;icensed Area(s)related in any way to development, construction, ownership, operation,maintenance, repair and/or replacement of the EVSE which may arise or become due during the Term shall be paid by Licensee at its expense. ARTICLE 4—RELEASE (a) To the maximum extent permissible by law, Licensee agrees to use and occupy the Premises at Licensee's own risk, and Licensor shall have no responsibility or liability for any loss or damage to the EVSE or other personal property of Licensee unless caused by the negligence or willful misconduct of Licensor. (b) The provisions of this Article 4 shall survive the termination or expiration of this License. ARTICLE 5 -INSURANCE Licensee shall maintain insurance types and amounts in accordance with its then-current commercial practices. ARTICLE 6—"1"f���MiNATION (a) Either party may terminate this Agreement at any time for any reason or no reason at all. (b) In the event that Licensor terminates this Agreement prior to the expiration of three (3) years from the Effective Date for any reason other than an Event of Default of the Licensee ("Early Termination"), then Licensor shall promptly pay to RMLD, upon demand, an amount equal to one-half of the amount that RMLD is required to repay to the Commonwealth of Massachusetts under that certain Agreement between the Commonwealth of Massachusetts Department of Environment Protection and Reading Municipal Light Department as part of the MassEVIP Public Access Charging rolling grant program. (c) In the event this Agreement is terminated for any reason, Licensee shall remove all EVSE from the Licensed Area(s)within one hundred eighty(180) days after termination of this Agreement at Licensee's sole cost, and if Licensee fails to remove its equipment within such one hundred eighty(180) day period, Licensor shall have the right to remove such equipment at Licensee's expense and without any liability on the part of Licensor for damage or injury to Licensee's equipment. Licensor shall be solely responsible for restoration of the Premises. ARTICLE 7 -ASSIGNMENT OF RIGHTS Neither party shall assign its interest or delegate its duties under this Agreement without the prior written consent of the other party(which consent shall not be unreasonably withheld, conditioned or delayed). Notwithstanding the foregoing, Licensee shall have the express right, without the prior written consent of Licensor,to sell,transfer or reorganize and to assign its rights under this Agreement. No consent by either party to any assignment or delegation by the other party shall be deemed to be a novation or otherwise to relieve the assigning party of its obligations hereunder unless otherwise expressly so stated in such consent. ARTICLE 8...-FIRE ANDIT CC�.��r�I�:.P�,?"t''�, f;��,�&C.�1;6�"���,�"�C)l'� In the event the EVSE or any portion thereof shall be destroyed or substantially damaged as a result of fire or other casualty,then this Agreement or the license to use such affected Licensed Area, as applicable,may be terminated at 3 the election of Licensee, in its sole discretion. Such election shall be made by giving of notice by Licensee to Licensor within ninety(90) days after the date of the casualty. Licensee's election to terminate shall be conditioned upon Licensee's safeguarding the portion of the EVSE not damaged from further damage, or,at Licensor's election, removing the EVSE. The Agreement shall terminate upon the latest of(i)receipt by Licensor of Licensee's notice of termination, (ii)the safeguarding or removal of the EVSE as aforesaid, as the case may be, and(iii)payment by Licensee to Licensor of all fees and other payments owing to Licensor under the Agreement up to the date of termination. If Licensee does not elect to so terminate,this Agreement shall continue in full force and effect, and Licensee shall restore the EVSE or parts thereof so damaged or destroyed to the condition thereof immediately prior to such casualty. ARTICLE 9 -DEF�;,�1ITL1����Al�tv"t�i'��,��"�C���J (a) It shall be an event of default(an"Event of Default")by Licensee i£ (i) Licensee fails to pay any fees and charges payable under this Agreement within sixty(60) days of notice that such amounts were not paid when due; or (ii) Licensee fails to observe and perform any covenant, condition or agreement hereunder on its part to be observed or performed for a period of sixty(60)days after notice, specifying such failure and requesting that it be remedied, given to the Licensee by the Licensor; provided,however, if the default is of such nature that Licensee cannot remedy the default within such 60-day period, Licensee shall have such additional time as may reasonably be required to remedy such default so long as Licensee commences to cure the default within such sixty(60) days and thereafter prosecutes the same to completion in good faith and with due diligence,but in no event later than one hundred eighty(180)days from the date of the notice from the Licensor. (b) If an Event of Default occurs,the Licensor shall have the right,while such Event of Default continues,to re-enter and take complete possession of the Licensed Area(s),to declare the Term of this Agreement ended,and remove the EVSE and Licensee's other effects on the Premises if Licensee fails to remove the same in accordance with the terms herein,without prejudice to any remedies which might be otherwise be available to the Licensor. ARTICLE 10 -FORCE MAJEURE Neither the Licensor nor Licensee shall be liable for any costs, losses or damages incurred by the other or any party claiming through the other for any failure to perform their obligations hereunder where such failures arise from or are in consequence of any event of force majeure, including but not limited to an act of God, natural disaster,war, civil disturbance, fire, explosion, failure of electrical distribution equipment,pandemic, any federal, state or local law or any rule, regulation or order of a court or other governmental agency,labor disputes, inability to secure materials, or any other cause or causes,whether similar or dissimilar to the causes enumerated above,beyond the reasonable control and without the fault or negligence of the party asserting force majeure. The party asserting force majeure must give notice in writing to the other party as soon as practicable after the occurrence of the cause relied on, and such cause shall be remedied with all reasonable dispatch. If any force majeure event makes this Agreement materially impossible to perform,then once Licensee has paid all outstanding fees through the day on which notice of the materially impairing force majeure event was served,both parties shall be relieved of their responsibilities and obligations hereunder as if this Agreement were terminated pursuant to Article 7 hereof. Licensee will pay all costs and expenses incutred in connection with the development, construction, ownership, operation,maintenance, repair and/or replacement of EVSE or any portion thereof, and any and all related improvements on or at the Premises,including utility connections and the cost of electricity and other utilities Licensee consumes in its development, construction, ownership, operation,maintenance,repair and/or replacement activities. (h) Licensee will be responsible for obtaining and maintaining, at its sole cost and expense, all local approvals, and permits necessary for the construction of EVSE and any and all other related improvements on or at the Licensed Area(s), and shall furnish the Licensor with copies of such permits before commencing with construction or installation of the EVSE at the Licensed Area(s). Licensor,without obligating itself to incur any costs or expenses in connection therewith, shall cooperate with Licensee in obtaining all required local licenses,permits, and the like, and shall sign all papers and documents at any time needed in connection therewith, so far as reasonably necessary, and to the extent it has the authority to do so. (i) The Licensee may make such additions, renewals or replacements to or alterations of EVSE or may construct or place on the Licensed Area(s) such additional or renewal or replacement facilities or equipment as Licensee may reasonably deem necessary or desirable to attain the purposes of the EVSE. (j) Except as provided in paragraph(1)below, Licensor acknowledges that Licensee shall have no obligation to maintain the Licensed Area(s) or any portion of the Premises. Licensor shall all at its sole cost and expense keep the Licensed Area(s) in good and safe order and condition, reasonable wear and tear and damage by fire or other casualty only excepted, and shall not commit or permit its agents, employees,representatives or invitees to commit waste to the Licensed Area(s). If Licensor or its agents, employees,representatives or invitees,by their act or omission damage the Licensed Area(s) or any portion of the Premises required to access the Licensed Area(s), Licensor shall, at its sole cost and expense,promptly repair and restore the Licensed Area(s)and/or any property of Licensor affecting Licensee's access and use of the Licensed Area(s). Licensor shall be responsible for the removal of all of its trash and waste and for removing snow and ice from the Premises as necessary for the use and operation of the EVSE and Licensee's access thereto. (k) Licensee shall maintain and repair the EVSE in good order and condition,reasonable wear and tear and damage by casualty excepted, and shall maintain the EVSE and related equipment so as to keep it safe, and in good working order and condition, all at its sole cost and expense. (1) Licensee shall have a right of access to the Premises and to perform the work in the Licensed Area(s) as necessary or expedient to construct, install, operate,maintain, repair,replace and/or remove the EVSE. ARTICLE 2=TE 1VI OF ,��„���FF.MENT This Agreement shall become effective on the Effective Date,and if not terminated in accordance with the provisions herein, shall continue for a period of fifteen(15)years from the date of operation of the EVSE, as notified in writing by Licensee to Licensor("Initial Term"). Unless a party provides written notice to terminate the Agreement least 90 days prior to expiration of the Initial Term,this Agreement shall remain in effect for successive one-year terms 2 ("Renewal Terms")until terminated by either party by providing written notice to the other at least 90 days prior the expiration of then such Renewal Term. ARTICLE 3 -k�k��� AND CHARGES (a) The fee to be paid by the Licensee to Licensor for the Term of this Agreement shall be one dollar($1.00) ("Licensee Fee"). (b) Except as provided otherwise, all costs, expenses and obligations of any kind relating to the Licensee's use of the Licensed Area(s)related in any way to development, construction, ownership, operation, maintenance,repair and/or replacement of the EVSE which may arise or become due during the Term shall be paid by Licensee at its expense. ARTICLE 4-RELEASE (a) To the maximum extent permissible by law, Licensee agrees to use and occupy the Premises at Licensee's own risk, and Licensor shall have no responsibility or liability for any loss or damage to the EVSE or other personal property of Licensee unless caused by the negligence or willful misconduct of Licensor. (b) The provisions of this Article 4 shall survive the termination or expiration of this License. ARTICLE 5 -T1VSiJRANCE Licensee shall maintain insurance types and amounts in accordance with its then-current commercial practices. ARTICLE 6-"i"�'�.�^S.��ATION (a) Either party may terminate this Agreement at any time for any reason or no reason at all. (b) In the event that Licensor terminates this Agreement prior to the expiration of three (3) years from the Effective Date for any reason other than an Event of Default of the Licensee ("Early Termination"), then Licensor shall promptly pay to RMLD, upon demand, an amount equal to one-half of the amount that RMLD is required to repay to the Commonwealth of Massachusetts under that certain Agreement between the Commonwealth of Massachusetts Department of Environment Protection and Reading Municipal Light Department as part of the MassEVIP Public Access Charging rolling grant program. (c) In the event this Agreement is terminated for any reason, Licensee shall remove all EVSE from the Licensed Area(s)within one hundred eighty(180)days after termination of this Agreement at Licensee's sole cost,and if Licensee fails to remove its equipment within such one hundred eighty(180) day period, Licensor shall have the right to remove such equipment at Licensee's expense and without any liability on the part of Licensor for damage or injury to Licensee's equipment. Licensor shall be solely responsible for restoration of the Premises. ARTICLE 7 -ASSIGNMENT OF RIGHTS Neither party shall assign its interest or delegate its duties under this Agreement without the prior written consent of the other party(which consent shall not be unreasonably withheld, conditioned or delayed). Notwithstanding the foregoing,Licensee shall have the express right, without the prior written consent of Licensor,to sell,transfer or reorganize and to assign its rights under this Agreement. No consent by either party to any assignment or delegation by the other party shall be deemed to be a novation or otherwise to relieve the assigning party of its obligations hereunder unless otherwise expressly so stated in such consent. ,�.:I�T�C,I�l�".� -F�w�k��AND �'�,�1G��"�.T I""�; (������:>1"�!tl���."�"l���l In the event the EVSE or any portion thereof shall be destroyed or substantially damaged as a result of fire or other casualty, then this Agreement or the license to use such affected Licensed Area, as applicable,may be terxninated at 3 the election of Licensee, in its sole discretion. Such election shall be made by giving of notice by Licensee to Licensor within ninety(90) days after the date of the casualty. Licensee's election to terminate shall be conditioned upon Licensee's safeguarding the portion of the EVSE not damaged from further damage, or, at Licensor's election,removing the EVSE. The Agreement shall terminate upon the latest of(i)receipt by Licensor of Licensee's notice of termination, (ii)the safeguarding or removal of the EVSE as aforesaid, as the case may be, and(iii)payment by Licensee to Licensor of all fees and other payments owing to Licensor under the Agreement up to the date of termination. If Licensee does not elect to so terminate,this Agreement shall continue in full force and effect,and Licensee shall restore the EVSE or parts thereof so damaged or destroyed to the condition thereof immediately prior to such casualty. Public Comment Mark Delaney noted the PBC meeting gave a cost estimate on the water tank project for maintenance. The estimate is$2.5 Million for 10 years. He feels that it is a much better idea to do the maintenance plan and then deal with replacing the tank in 10 years. Carolyn Whiting noted she supports the Meadow Brook land purchase. Bruce Mackenzie noted he is also in favor of the Meadow Brook land purchase but noted he hopes the members can look at the lots beforehand because they are hilly. Precinct Maps Town Clerk Laura Gemme gave the board a short presentation which can be found in the Select Board packet online. She outlined the new precincts and explained how they were formed and the factors taken into consideration when creating the new lines. Anne Landry asked about the timing of our redistricting since the State is also redistricting right now as well. It was noted the State has already approved our new maps so hopefully no further changes will need to be made.She also asked about VRA analysis,who did that analysis and if those numbers were taken into consideration when redrawing the lines. It was noted the analysis was done by the State and yes,they were taken into consideration. Mark Dockser moved to accept the 2020 Re-Precincting Plan for the Town of Reading as presented. The board discussed the different locations for the charging stations and the different types.They discussed at home rebates thru RMLD for home charging stations. They discussed the proposed license with Town Counsel as well.They discussed specifically the early termination fee and the length of the license. It was noted RMLD will be looking to implement the same license with the same conditions for each town they serve. Karen Herrick will be the point person to finalize the license with Town Counsel. Karen Herrick moved to authorize Karen Herrick to work with Town Counsel's office to negotiate a license with RMLD and present said license to the full Select board at their next meeting for approval. Bill Brown noted if the town buys that lot for the use of a parking lot; the math would come out to$37K per parking spot plus the costs of making some of them ADA compliant. It is not worth it. Anne Landry noted there is also no guaranteed access to the town forest before the deal ends tonight. Martha Moore noted it is clear people access the town forest from that lot already whether it is approved or not so this is a great opportunity not to miss. Matt and Andrea from 87 Rustic Lane feels the town would really benefit from buying all 5 lots. Will Finch feels the town should buy all 5 lots so we have control over what goes there. Bruce Mackenzie would like to see the town buy all 5 lots. Chris Haley feels$2.25 million for 2.5 acres of land is outrageous but the lot 5 only deal would be ok with him. Carlo Bacci noted the lot 5 deal seems like it would solve a lot of parking problems for the town forest but ideally, he would not purchase any of the land. Mark Dockser feels the price is what it is and the board should exercise their right of first refusal and purchase all 5 lots. Anne Landry noted she is uncomfortable with the pressure of the lot 5 deal ending tonight so she would also like to see the board exercise their right of first refusal for all the lots. Carlo Bacci would like Karen Herrick to declare in open session she would not be involved in any real estate transactions of this property if we were to sell this land later on. Karen Herrick would like the board to exercise their right of first refusal for all 5 lots.She would like the lot 5 deal to be extended through town meeting. Attorney Josh Latham who was also on the meeting, noted his client confirmed they will extend the lot 5 deal so it can go before town meeting. OML Complaints/Mediation Town Counsel Ivria Fried explained the board needs to decide how they want mediation with Walt Tuvell to go.She would recommend doing this in executive session which is typical for mediation sessions. Mark Dockser and Karen Herrick agreed it should be done in mediation while Chris Haley felt going into executive session is what got them here in the first place and he would prefer to do it in open session. The next decision the board has to make is if a quorum of the board wants to participate in mediation or just one point person.Anne Landry would not be able to participate if the board choses to go with a quorum. Chris Haley, Carlo Bacci and Mark Dockser agreed a quorum of the board would be their preference while Karen Herrick noted she had no real preference. Anne Landry and Mark Dockser felt the Chair and Vice Chair would be best suited for the 2 board members on the committee. Chris Haley pointed out that Karen Herrick told the board at a prior meeting it was precedent that the Chair and Vice Chair act on screening committees; however, he went back and looked it up and that is not what happened in 2012.The last screening committee had the Vice Chair and a member on it. Mark Dockser moved to approve the Animal Control Inter-Municipal Agreement with Wakefield as presented and the renewal of the Inter-Municipal Agreement: Reading/Wakefield to share Assessor Services as presented. Mark Dockser moved that the Select Board vote not to exercise its Right of First of Refusal, pursuant to G.L.c.616, s.9,over the portion of Meadow Brook Golf Club Corporation of Reading's property identified in its Notice of Intent to Sell,dated July 6,2021,and on such terms and conditions outlined therein, and direct the Town Manager to send notice of such waiver to Meadow Brook's counsel by November 5,2021.The motion was seconded by Carlo Bacci. Before the board voted,Chris Haley wanted to inform the board he did file a disclosure form because of a campaign donation made to him last year was from the developer buying the land. He noted he did not know who the donation was from or who he was at the time. The board voted on the above motion to exercise its Right of First Refusal and the motion was passed with a unanimous roll call vote. Mark Dockser moved to Accept the offer from Meadow Brook and Bancroft dated October 18, 2021, in which Bancroft agrees to sell a parcel of land identified as Lot 5 on an Approval Not Required Plan prepared by Sullivan Engineering Group, LLC entitled "Plan of Land Off of Grove Street Located in Readinq, Massachusetts Prepared for Meadowbrook Golf C/ub"dated December 4,2020,with a Revision date of December 9, 2020,as endorsed by the Community Planning&Development Commission on December 14, 2020,to the Town for a purchase price of$450,000 and with no deed restrictions aside from setback restrictions as noted in the offer, provided, however,that any sale of Lot 5 to the Town shall be contingent on an affirmative final vote of Town Meeting authorizing the acquisition of land and the appropriation of funds; Direct the Town Manager to send notice of the Board's acceptance of the offer to Bancroft's counsel on or before October 27,2021;and - Authorize Town Counsel,with direction from Mark Dockser,to work with Bancroft on a Purchase and Sale Agreement,said Agreement to be approved by the Board prior to November 24,2021. She also noted he has filed his 9th complaint recently and asked if the board still feels mediation will be successfuL Mark Dockser explained he no longer feels mediation would be fruitful anymore. He would now prefer if ' we just let the AG review is complaints and render their decision. Chris Haley noted he is unsure of how mediation would go at this point but he is okay with continuing to try and mediate. Carlo Bacci noted he agrees with both Mark and Chris' statements but is willing to go with what a majority of the board would like to do. He noted he does not have much faith mediation will work but will continue if that is the wish of the board. Karen Herrick noted she is willing to give mediation another try but she is not sure she is comfortable with it being recorded. Anne Landry noted she agrees with Carlo and can see both sides here. The board noted they are not comfortable with the mediation being recorded as Walt requested and they would like to do it in executive session following their executive session rules.The board agreed to respond one more time and explain their conditions in order to mediate as explained above. Anne Landry moved to add complaint#9 to mediation and to authorize Town Counsel to respond with the Board's conditions for mediation with a hybrid format, no recordings consistent with their executive session procedures and to meet in early 2022. He gave him three priorities for Reading;funding for the water tank, deposit into the affordable housing trust fund, and funds for frontline employees during the pandemic.
