FINANCE COMMITTEE
Term: Three years
Appointing Authority: Finance-Committee Appointment Committee
Number of Members: Nine members to be appointed to no more than three consecutive terms
Meetings: Once a month except during budget season when the committee usually meets
twice a week
Authority: Reading Charter—Adopted March 24, 1986
Purpose: The Finance Committee shall have all the powers and duties granted to Finance
Committees under the laws of the Commonwealth, Town Bylaws, Town Meeting
vote and other applicable laws. In addition to these powers, the Finance
Committee shall have the power to investigate the books, accounts, records and
management of any office, board or committee in Town, and may use agents in
carrying out such investigations. The Finance Committee shall report its
findings, approval or disapproval on all articles which involve the expenditure of
funds in the warrant in writing at least seven (7) days before Town Meeting.
Such a report shall not preclude further action or reconsideration by the Finance
Committee.

globally, with $2 billion in revenues, publicly traded with operations in over 30 countries and deployed networks in over 100
countries.As Akamai's first professional treasurer, I established the treasury function, managing all aspects of risk and capital
market activities, global banking relationships, insurance, and employee stock administration programs. Developed long-range
financial and capital structure plan including share repurchase activities, M&A flexibility options, and road-map for changes.
Interacted extensively with the Board and Audit Committee regarding Akamai's liquidity and capital structure, $1 B+ investments
portfolio, and FX risk management. Provided company-wide thought leadership in areas of valuation and how to measure and
manage value through ROIC and cost of capital analysis.Accomplishments:
• In February 2014, priced and issued $690M convertible bond at 0% coupon up 50% conversion premium, with a hedge
overlay extending the conversion premium to 75%, in only one week. There have been 186 marketed technology convertible
debt offerings in the last 10 years and Akamai's terms represent the best overall pricing during this period. This opportunistic
debt offering essentially helps insuring Akamai's future and ambition to reach$5B in revenues by 2020
• Handpicked by the CFO to lead a finance transformation benchmarking project globally in 2013, which led to additional
responsibilities to build a world-class finance organization. This new role essentially serves as the assistant to the CFO, to
execute his agenda/goals towards a world-class finance organization. Projects so far includes establishing an acquisition/new
product integration playbook, improving overall FP&A process, preparing Akamai for internal and external segments
reporting,and establishing a finance talent management program
• Established annual capital structure reviews with the Audit Committee. Reviews generally include liquidity and return of
capital benchmarking, overview of debt capital markets and pricing applicable to Akamai, valuation, analysis of Akamai's
implied credit rating,and capital structure alternatives
• Implemented a FX risk management program and reduced overall FX risk in the first year by implementing a hedging
